Chapter 8: The Sister Who Made a Secret Deal
“Tell me you didn't meet Martin.””
Ethan's voice was quiet.
That made it worse.
Emily stood in the library doorway, the phone trembling in her hand. Rain streaked the windows behind her, and the brass lamp cast a pool of warm light over the letter their mother had left.
“I did meet him,” she admitted.
Richard rose abruptly.
“Emily!””
She flinched.
“Please, Dad. Let me explain.””
Richard stared at her.
“You met Martin Shaw yesterday and said nothing?””
“I didn't know what he was planning.””
“You knew enough to keep it from us.””
Emily's eyes filled.
“I was trying to protect Ethan.””
Ethan felt a bitter laugh rise in his throat.
“That's what everyone says.””
He placed the letter on the desk.
“Victoria was protecting her family. Dad was protecting the company. Martin was protecting the investment. Now you're telling me you were protecting me.””
Emily shook her head.
“I know how it sounds.””
“Then tell me what happened.””
She walked into the room and sat on the edge of the sofa. For a moment, she looked like the little girl who used to crawl into Ethan's bed during thunderstorms.
Then she took a breath.
“Martin contacted me two weeks ago. He said he had discovered irregularities in the company accounts and needed help reviewing some documents.””
“Why you?””
“Because I was listed as the successor beneficiary of Mom's protective account.””
Ethan stared at her.
“How did he know that?””
“I don't know. He said he'd found a reference to the account while reviewing the trust.””
“Did you tell him about the seven properties?””
“No. I didn't even know there were seven until you showed me the document.””
Richard paced toward the window.
“Emily, you should have told us immediately.””
“I was afraid.””
“Of what?””
“That you would dismiss me. That you'd tell me it was a business matter and I shouldn't interfere.””
Richard stopped.
Emily looked at him.
“You've done that my entire life, Dad. Whenever I asked about the company, you told me not to worry. When I asked why Mom was upset before she died, you said she was tired. When I asked why Martin left, you said he'd found a better opportunity.””
Richard's expression crumpled.
“Emily…”
“I trusted you. I trusted all of you.””
She wiped her cheeks.
“Then Martin showed me documents suggesting that the company was using assets it didn't own as collateral. He said if I helped him understand the protective account, he could stop the transfer before it happened.””
Ethan stared at her.
“And you believed him?””
“I wanted to.””
“What did he ask you to do?””
Emily looked down.
“He asked me to meet him at a hotel yesterday afternoon. He said he had a document proving that Mom's trust had been altered after her death.””
“Did he show it to you?””
“Yes.””
“What was it?””
“A letter supposedly signed by Mom, giving Dad authority to transfer the seven properties if the company faced financial distress.””
Richard turned sharply.
“That document doesn't exist.””
Emily looked at him.
“I know that now.””
Ethan's stomach tightened.
“Why?””
“Because Martin asked me to sign a statement confirming that Mom had discussed the transfer with me before she died. He said it would help protect the properties.””
Ethan stared at her.
“You were going to sign a false statement?””
“No!”” Emily's voice broke.
“I refused.””
“Then what happened?””
“He became angry. He told me that if I didn't cooperate, the estate would be placed under administration, the properties would be sold, and Mom's protective account would be frozen.””
Ethan's expression hardened.
“So you walked away.””
“Yes.””
“And you didn't tell me.””
Emily lowered her head.
“I was ashamed. I thought I could handle it myself.””
He looked at her for a long moment.
Then he sat opposite her.
“Emily, I'm not angry because you were scared. I'm angry because you thought you had to face this alone.””
She looked up, startled.
He continued, “Mom created that account to protect you. She didn't do it so Martin could use you to get to the trust.””
Emily began crying.
“I know.””
Ethan reached across the table and took her hand.
“Then we stop keeping secrets. All of us.””
Richard stood silently by the window.
After a moment, he spoke.
“Emily, I'm sorry.””
She looked at him.
“For what?””
“For making you feel that you couldn't come to me. For believing I could solve every problem by keeping it away from you.””
He swallowed.
“And for putting this family in a position where you thought you had to negotiate with Martin.””
Emily wiped her eyes.
“I don't know if I can forgive you yet.””
Richard nodded.
“You don't have to.””
The admission seemed to take something out of him.
For years, Richard Carter had been the man who gave instructions and expected them to be followed. Now he stood in the library, unable to command forgiveness from his own daughter.
Ethan turned back to the phone.
The anonymous message still glowed on the screen.
Now that you know about the seven properties, ask Emily why she met Martin Shaw yesterday.
He called the number.
It rang once.
Twice.
Then a man's voice answered.
“Ethan.””
“Who are you?””
“You don't need to know my name.””
“Then why are you contacting me?””
“Because you need to understand what Martin is planning.””
“Why should I trust you?””
“You shouldn't. You should verify everything I tell you.””
Ethan leaned forward.
“Fine. Start talking.””
“The seven properties are not the only assets Martin has been trying to access. Your mother established another account containing the original ownership records for the Carter waterfront developments.””
Ethan frowned.
“Those developments are owned by Carter Holdings.””
“That's what the public filings say.””
“What do the private records say?””
“That three of the developments were transferred into a separate entity before your mother died. Martin has been trying to obtain control of that entity for months.””
Ethan looked at Daniel's notes scattered across the desk.
“Why?””
“Because those properties are worth far more than the portfolio listed in the financing agreement.””
“How much more?””
“Enough to cover the company's immediate debt several times over.””
Ethan felt a flicker of hope.
“If we can prove the properties aren't part of the trust, we can protect them.””
“Possibly. But Martin knows that. That's why he approached Emily.””
Ethan looked at his sister.
“He wanted her to sign a false statement.””
“Exactly. If he could establish that your mother intended the properties to be used as collateral, he could challenge the ownership structure and gain access to the assets.””
“Who are you?””
The caller ignored the question.
“There's something else. Victoria isn't the only person who has been working with Martin.””
Ethan's grip tightened around the phone.
“Who else?””
“Gregory Hayes.””
“I know that.””
“No. You don't know the extent of it.””
The caller paused.
“Gregory didn't just provide capital. He agreed to acquire the debt from one of Carter Holdings' lenders. Once the emergency administration clause takes effect, he can use that debt to force a restructuring.””
Ethan stared at Richard.
His father had heard enough to understand the implication.
“Gregory wants to take control of the company,” Richard whispered.
“Not just the company,” the caller said.
“The properties, the trust, and anything connected to the family estate.””
Ethan felt anger rise.
“Then why did Victoria need to marry me?””
“Because the marriage gave the arrangement a family connection. It made the transfer look like a voluntary restructuring rather than a hostile takeover.””
Ethan closed his eyes.
The wedding had been designed to make a theft look like a celebration.
He had been the groom, the guest of honor, and the final piece of a plan he had never agreed to.
“What happens at midnight?”” he asked.
“The debt becomes enforceable. Gregory will demand immediate control of the collateral. Martin will act as administrator. Your father will be removed from the decision-making process, and the company will be placed under a restructuring plan.””
“Can we stop it?””
“Yes. But you need to find the original debt assignment.””
“Where is it?””
“Martin has it.””
“Then we get it from him.””
The caller's voice sharpened.
“It's not that simple. The assignment was signed by the original lender, but the lender's records indicate it was transferred to a company that no longer exists.””
Ethan frowned.
“What?””
“Northbridge Capital was dissolved two months ago. If the debt assignment was transferred to that company, the legal ownership of the debt may be disputed.””
Daniel, who had joined the call on speakerphone, leaned forward.
“That's significant. If the assignment is invalid, Gregory may not have standing to enforce the debt.””
The caller continued.
“There's a catch. Martin has a copy of a document purporting to transfer the debt from Northbridge to Shawbridge Partners.””
Daniel's expression darkened.
“Which would make Martin the creditor.””
“Exactly.””
Ethan stared at the phone.
“Why are you telling me all this?””
A long silence followed.
Then the caller said, “Because I helped create Northbridge Capital.””
Ethan went still.
“Who are you?””
“My name is Samuel Reed. I was the accountant who handled the original property transfers for your mother.””
Richard moved closer.
“Samuel Reed? You disappeared after the audit.””
“I resigned,” Samuel replied.
“After I discovered that someone was altering the records.””
“Why didn't you tell us?”” Ethan demanded.
“I tried. Your father refused to believe me.””
Richard's face tightened.
“I never received a report from you.””
“I sent three.””
Richard looked stunned.
Samuel continued, “I kept copies. I can provide them, but I need to know that Ethan is prepared to act before midnight.””
Ethan didn't hesitate.
“I am.””
“Then meet me at the old waterfront office. Bring Margaret Ellis's trust documents and no one else.””
Ethan glanced at Daniel.
“Why no one else?””
“Because I don't know who is listening.””
The call ended.
For several seconds, nobody spoke.
Then Daniel shook his head.
“This could be a trap.””
“Could be,” Ethan agreed.
“And the waterfront office is on property controlled by Shawbridge Partners.””
Richard looked up sharply.
“Martin sold the building last year.””
“To whom?”” Ethan asked.
Richard hesitated.
“I don't know.””
Daniel checked his notes.
“The property records list a company called Northbridge Capital.””
Ethan felt a cold chill.
The meeting place belonged to the same company at the center of the disputed debt.
Everything led back to Martin.
Emily stood.
“Then you're not going alone.””
Samuel had specifically told Ethan to bring no one else.
But Ethan looked at his sister and understood why Martin had targeted her. She was the successor beneficiary of their mother's protective account. She was the person who could help authenticate the records and challenge the attempted transfer.
He also understood something else.
If Martin believed Emily was the key to the protected properties, he might try to reach her again.
“Emily, you're staying here with Daniel.””
She shook her head.
“No.””
“It's too dangerous.””
“Exactly. That's why I should come.””
“Emily—”
“You just told me we were done keeping secrets. You don't get to make me part of this and then lock me in the house.””
Ethan stared at her.
Then he nodded reluctantly.
“Fine. But you stay with Daniel. You do not approach Martin, and you do not sign anything.””
“I promise.””
Richard stepped forward.
“I'm coming, too.””
Ethan looked at him.
“I don't know if I can trust you.””
Richard accepted the words without protest.
“But I know Martin,” he said.
“I know how he operates, and I know the properties he targeted. If he's at the waterfront office, I may be able to identify the original documents.””
Ethan studied his father.
Finally, he nodded.
“But if you hide anything from me again, we're finished.””
Richard's eyes filled.
“Understood.””
They left the estate at 6:48 p.m.
The rain had stopped, leaving the roads slick and shining beneath the streetlights.
As the sedan headed toward the waterfront, Ethan's phone rang again.
This time, the number belonged to Victoria.
He almost declined the call.
Then he answered.
“What do you want?””
Her voice was trembling.
“Ethan, I know where Martin keeps the original transfer documents.””
He closed his eyes briefly.
“Why are you telling me?””
“Because my father just called me. He said if I don't cooperate with Martin tonight, he'll make sure I lose everything.””
Ethan's jaw tightened.
“Welcome to the family.””
She made a broken sound.
“I deserve that.””
“Yes, you do.””
“I know.””
A pause followed.
Then she whispered, “Ethan, there's something I didn't tell you at the wedding.””
He said nothing.
“Martin didn't just use my signature. He used my mother's name, too. He told me that if the transfer failed, he would expose a secret about her that would destroy my family.””
Ethan looked out at the dark water beyond the road.
“What secret?””
Victoria's voice dropped.
“My mother didn't die in an accident.””
Ethan went still.
“What are you talking about?””
“My father told everyone she died of a sudden illness. But I found a letter from Martin saying he knew what really happened.””
Ethan stared at the phone.
“Victoria, if you're lying to me—”
“I'm not. I swear.””
Her breathing grew uneven.
“Martin was working with my father when my mother died. And I think they both know why she was really in that car.””
The call disconnected.
Ethan looked toward his father.
Richard had heard every word.
His face was ashen.
“Dad,” Ethan said slowly, “what happened to Victoria's mother?””
Richard didn't answer.
May you like
Instead, he looked at the approaching waterfront district.
“Ethan,” he whispered, “if Martin has those records, we may be dealing with something far worse than financial fraud.””
