Chapter 5: The Contract He Never Signed

Ethan read the final page twice.

Then a third time.

His name appeared at the bottom, written in black ink beneath a paragraph confirming his consent to emergency administration of the Carter family estate.

The signature looked like his.

The slant was right. The spacing was right. Even the small break in the final stroke of his surname appeared exactly where he usually made it.

But he had never seen the document before.

“Who prepared this?”” he asked.

Daniel adjusted his glasses.

“The document was drafted by an outside legal firm. According to the records I received, it was executed approximately six weeks ago.””

“Executed where?””

“In New York.””

“I was in London six weeks ago.””

Daniel paused.

“Then we have a serious problem.””

Ethan held out the page.

“Not a problem. A forgery.””

Richard moved closer.

“Let me see it.””

Ethan kept the document in his hand.

“You've seen it before.””

Richard's silence answered him.

Ethan's voice dropped.

“Dad, did you know someone was using my signature?””

Richard glanced toward the guests.

“We need to discuss this privately.””

“No. We're done with private discussions.””

Several guests shifted uncomfortably. Others had begun filming openly.

Ethan didn't care.

For years, he had protected his family's reputation. He had ignored rumors about questionable property deals, excused his father's secrecy as the burden of running a large company, and assumed that the people closest to him would never deliberately place him in danger.

Now his father's silence was costing him everything.

Daniel stepped between them.

“Mr. Carter, if you allow me to explain the legal structure, this may become clearer.””

“Go ahead.””

“The emergency administration clause is tied to a financing arrangement. If the marriage occurred and the initial transfer was completed, certain assets would remain under the existing management structure. If the marriage did not occur, the estate could be placed under temporary administration while the financing arrangement was reviewed.””

“By whom?””

“An appointed administrator.””

“Who appointed him?””

Daniel hesitated.

“Your father, with your purported consent.””

Ethan looked at Richard.

“Who is this administrator?””

Richard finally answered.

“Martin Shaw.””

Ethan recognized the name.

Martin Shaw had been his father's chief financial officer for almost a decade. He had left Carter Holdings the previous spring, supposedly to take a position with a private investment firm.

Ethan had attended his farewell dinner.

Martin had raised a glass and thanked the family for giving him an opportunity to build something meaningful.

Now Ethan wondered whether the dinner had been another performance.

“Where is Martin?”” Ethan asked.

Daniel shook his head.

“I haven't been able to reach him today.””

“Convenient.””

“Very.””

Victoria stood beside the altar, clutching her bouquet so tightly that several stems bent between her fingers.

“You're wasting your time,” she said.

Ethan turned toward her.

“Then help us save it. Tell us what you know.””

“I don't know anything about this emergency agreement.””

“But you knew about the transfer.””

She looked down.

“I knew there was a business arrangement.””

“Did you know my signature was on the documents?””

“No.””

“Did you know my mother's signature was there?””

Victoria's eyes lifted.

“I never saw your mother's signature.””

“Then why did you tell me the marriage had to happen before midnight?””

She froze.

Ethan had not mentioned that detail to her.

He watched realization spread across her face.

“You just said you didn't know about the arrangement,” he continued.

“How did you know the deadline?””

Victoria opened her mouth.

Gregory stepped forward.

“My daughter was informed that certain business conditions had to be met. That's all.””

“By whom?””

Gregory looked at Richard.

Richard stared at the floor.

Ethan laughed once, without humor.

“I'm beginning to understand the arrangement. Everyone knows just enough to protect themselves, and nobody knows enough to accept responsibility.””

“That is not fair,” Richard said.

“Then make it fair. Tell me the truth.””

Richard looked at the guests, then at Daniel.

Finally, he turned to Ethan.

“Martin approached me with a proposal several months ago. He claimed the company was exposed to significant financial risk because of a failed investment. He said a restructuring would protect the estate and prevent our creditors from gaining control of the properties.””

“Was that true?””

“Some of it.””

“What does that mean?””

Richard rubbed his jaw.

“The company had a liquidity problem. Several developments were losing money, and our lenders were demanding additional guarantees. Martin said the Hayes family could provide capital in exchange for a minority interest in the portfolio.””

“So you agreed.””

“I agreed to explore the arrangement.””

“And Victoria's role?””

Richard hesitated.

“She was supposed to become a beneficiary of a separate holding company after the marriage.””

Ethan stared at him.

“You knew she was marrying me.””

“Yes.””

“You knew she would gain access to our assets.””

“Yes.””

“And you didn't think to tell me?””

Richard's voice hardened.

“I was trying to protect the company.””

“From what?””

“Collapse.””

The word echoed in Ethan's mind.

For the first time, he considered the possibility that his father hadn't acted out of greed.

He might have acted out of fear.

But fear didn't excuse deception.

“How much money have we lost?”” Ethan asked.

Richard looked at Daniel.

The attorney answered.

“Current estimates suggest the exposure could exceed sixty million dollars, depending on the status of the outstanding loans.””

A stunned silence followed.

Emily stepped closer to her brother.

“Sixty million?””

Daniel nodded.

“And that's before any penalties or legal costs.””

Ethan felt sick.

The wedding had not been a romantic ceremony with a financial scheme attached to it.

It had been the final step in a desperate attempt to save a company by placing its assets into an arrangement Ethan hadn't approved.

But one question remained.

“Why did the deal require Victoria to marry me?””

Richard closed his eyes.

“Because the holding company needed an eligible beneficiary connected to the family trust.””

“I'm an eligible beneficiary.””

“Yes, but the structure required a second beneficiary with a financial interest in the Hayes investment.””

“So you decided to make my wife that beneficiary.””

Richard nodded reluctantly.

“Martin insisted it would simplify the arrangement.””

Ethan looked at Victoria.

“Did you know you would receive an interest in the properties?””

She hesitated.

Then she whispered, “Yes.””

The answer struck harder than he expected.

“From the beginning?””

“No.””

“When did you find out?””

“About two months ago.””

“And you stayed with me.””

She lifted her chin.

“I loved you.””

Ethan stared at her.

“You told Madison you never loved me.””

Victoria's eyes filled again.

“I was angry. I didn't mean it.””

“Then tell me what you did mean.””

She swallowed.

“I knew the marriage would give me a financial interest in the holding company. My father told me it was part of the investment agreement.””

“And you didn't think I should know?””

“I thought you already knew.””

Ethan looked toward Richard.

His father said nothing.

Victoria continued quickly.

“Your father told mine that you understood the arrangement. He said you were willing to marry me because it would help stabilize the company.””

Ethan turned to Richard.

“Did you tell them that?””

Richard's shoulders sagged.

“I told Martin that I believed you would support the restructuring once it was explained.””

“You told them I had agreed before you asked me.””

“I believed you would agree.””

Ethan took a slow breath.

“That isn't the same thing.””

“No,” Richard admitted.

“It isn't.””

The admission was the first honest thing Ethan had heard from his father all afternoon.

It didn't make the betrayal hurt less.

But it changed its shape.

His father hadn't simply hidden a transaction. He had made decisions about Ethan's future without his consent, convinced that the company mattered more than the truth.

And Victoria had accepted those decisions because they benefited her.

Ethan turned toward Daniel.

“Can we stop the transfer?””

“Potentially. We need to establish whether the signatures are forged and whether the transaction was properly authorized.””

“How long?””

“That depends on the records and the court's response.””

Ethan glanced at the clock above the doors.

It was 4:37 p.m.

“Midnight is less than eight hours away.””

“Yes.””

“What happens if we do nothing?””

Daniel looked grim.

“The administrator could take control of the estate under the terms of the agreement. At minimum, it would trigger a complicated legal dispute. At worst, we could lose control of several key assets before the fraud allegations are resolved.””

Emily gripped Ethan's arm.

“Then we need to call the police.””

“We will,” Daniel replied.

“But first, I need to secure the original documents.””

He turned toward Gregory.

“Mr. Hayes, do you have a copy of the signed agreement?””

Gregory shook his head.

“No.””

Daniel looked at Victoria.

“Miss Hayes?””

“No.””

Madison suddenly spoke from beside the first row.

“I do.””

Everyone turned.

Victoria's face twisted.

“Madison, shut up!””

Madison flinched but kept speaking.

“I have a copy of the agreement. Victoria asked me to print it at my apartment two weeks ago.””

Ethan stepped toward her.

“Why didn't you say so earlier?””

“Because I was scared.””

“Of Victoria?””

Madison glanced at her friend.

“Of her father. He told me that if I talked, he would make sure my brother lost his job.””

Gregory's expression darkened.

“That's a serious accusation.””

Madison pulled her phone from her handbag.

“I saved the messages.””

She tapped the screen several times and handed it to Daniel.

He read the messages in silence.

Then his expression changed.

“Mr. Hayes, I strongly suggest you stop speaking until you have legal representation.””

Gregory laughed sharply.

“You cannot threaten me in front of these people.””

“I'm not threatening you. I'm advising you.””

Daniel turned toward Ethan.

“There's something else.””

“What?””

“The copy Madison has isn't the same version I prepared.””

Ethan's stomach tightened.

“What's different?””

“The original agreement gave the Hayes family a minority interest in the holding company. This version gives them control of the entire portfolio if the marriage is terminated within six months.””

Victoria's bouquet slipped from her fingers.

The white roses scattered across the marble floor.

Ethan stared at her.

“Six months.””

She began shaking her head.

“No. That's not what I agreed to.””

Daniel held up the paper.

“Your signature is on the last page.””

“I never saw that version!””

Gregory grabbed the document.

“Give me that.””

Daniel pulled it away.

“Do not touch the evidence.””

Victoria turned on her father.

“You told me the agreement only gave us a small percentage!””

Gregory's face hardened.

“You need to be quiet.””

“You said the rest was just a safeguard!””

“Victoria.””

“You said Ethan would never lose anything!””

Gregory stepped closer and lowered his voice.

“Do you want to destroy everything we've worked for?””

Victoria stared at him.

Then she looked at Ethan.

For the first time, she appeared to understand that she might have been used, too.

But Ethan felt no satisfaction.

Even if her father had manipulated her, she had still chosen to deceive him. She had still laughed about their marriage. She had still planned to leave him with a broken heart and an empty trust.

“You knew enough to understand what you were doing,” he said quietly.

Victoria's eyes filled.

“I didn't know about the six-month clause.””

“But you knew about the money.””

She lowered her head.

“Yes.””

Ethan stepped away.

“Then we're finished.””

He expected her to argue.

Instead, she whispered something that made him stop.

“Ethan, I can prove your father knew about the six-month clause.””

Richard's head snapped up.

“Victoria, don't.””

She looked at Ethan.

“I have an audio recording.””

The hall went silent.

Daniel slowly closed his briefcase.

“What kind of recording?””

Victoria reached into the pocket hidden inside her wedding dress and pulled out a small black phone.

“My father told me to keep it in case Richard tried to blame us for everything.””

Gregory lunged toward her.

“Give me that!””

She stepped back.

“No!””

Ethan watched as she unlocked the phone with trembling fingers.

A recording appeared on the screen, dated six weeks earlier.

Victoria pressed play.

Gregory's voice came through the speaker first.

Once Ethan signs, we have six months to exercise the clause.

Then Richard spoke.

And if he discovers what we've done?

Gregory answered without hesitation.

By then, it won't matter. He'll have to fight us in court to get anything back.

A pause followed.

Then Richard's voice returned.

And the wedding?

Gregory laughed.

Let them have their fairy tale. It's cheaper than explaining the truth.

The recording ended.

Nobody moved.

Ethan looked at his father.

Richard seemed unable to meet his eyes.

And then Daniel spoke.

“There's one more thing you should know about that recording.””

He turned the phone toward Ethan.

“The metadata shows it was created six weeks ago. But the final portion was added three days later.””

Ethan frowned.

“What does that mean?””

Daniel looked directly at Victoria.

“It means someone edited the recording.””

Victoria's face went white.

Ethan stared at her.

“Who edited it?””

She opened her mouth.

And from the back of the hall, a familiar voice answered.

“I did.””

Martin Shaw stepped through the doors.

May you like

He was carrying a black briefcase.

And he was smiling.
