Chapter 9: The Boardroom Betrayal
The boardroom was silent when I entered.
Seven chairs surrounded the long walnut table.
Five were occupied.
Peter Wallace sat at the far end, wearing a dark blue suit and the familiar silver watch he had owned for as long as I had known him.
He smiled when he saw me.
"Daniel. Good to see you.""
I didn't return the smile.
"Peter.""
He glanced toward Sarah.
"Is something wrong?""
I placed a folder on the table.
"That depends on how you define wrong.""
The other board members exchanged looks.
James Carter, our chairman, cleared his throat.
"Daniel, we were expecting an update on the Reed Development transaction.""
"You'll get one.""
I took my seat.
Sarah sat beside me.
Peter folded his hands.
"Before we begin, I'd like to propose a vote on the temporary restructuring agreement.""
I looked at him.
"What agreement?""
He slid a document toward the chairman.
"The one Anthony Reed circulated last week.""
James examined it.
"Peter, I thought this was still under legal review.""
"It is. But we need to act quickly. Westbridge has offered to stabilize the company's debt position.""
I almost laughed.
"Westbridge?""
Peter nodded.
"They're prepared to inject significant capital.""
"How much?""
"Five million dollars initially.""
"And what do they want in return?""
Peter looked at me.
"Temporary voting control over several subsidiaries.""
I leaned back.
"Of course.""
He frowned.
"Daniel, this isn't the time for sarcasm.""
"You're right. It's time for questions.""
I opened the folder.
The first document was the original beneficial ownership agreement.
The second was my mother's capital contribution.
The third was the proposed resolution transferring control of Northstar's subsidiaries.
I placed them in front of the chairman.
"Before anyone votes on anything, I want the board to understand the ownership structure of this company.""
Peter's expression changed.
Only slightly.
But I noticed.
I continued.
"Three years ago, my mother contributed $250,000 toward the formation of Northstar. The contribution was made on my behalf and protected through an independent beneficial ownership trust.""
James looked at the agreement.
"Why haven't we seen this before?""
"Because the arrangement was designed to protect my ownership during the initial registration period. The nominee was supposed to transfer the shares once capitalization conditions were satisfied.""
Peter leaned forward.
"That's an incomplete interpretation.""
I turned toward him.
"Then let's hear yours.""
He adjusted his watch.
"The agreement was never finalized.""
"Correct. The transfer wasn't completed.""
"Which means Westbridge retained its rights.""
I placed my father's signed instruction beside the document.
"No. It means the nominee failed to transfer the shares as required.""
Peter looked down.
Sarah spoke.
"The trust's independent protector has confirmed that the capitalization conditions were satisfied within the first six months. The beneficial rights therefore remained with Daniel Hayes.""
Peter shook his head.
"That's debatable.""
Sarah slid another document toward him.
"Not under the language of the agreement.""
James looked between them.
"Who is the independent protector?""
I answered.
"Sarah Mitchell.""
The room went quiet.
One of the board members, Linda Brooks, leaned forward.
"Sarah, you've known about this arrangement?""
"Yes.""
"Why wasn't the board informed?""
"Because the trust did not alter the company's operating structure while the original capitalization conditions remained satisfied. However, the attempted enforcement of the nominee arrangement now requires disclosure.""
Peter gave a short laugh.
"Convenient timing.""
I turned toward him.
"Let's discuss timing.""
I opened another folder.
"On three separate occasions, someone used my authorization credentials to approve payments connected to Silverline Creative.""
Peter remained still.
"Those payments were linked to an intermediary account controlled by Richard Cole.""
I placed the transaction logs on the table.
"Some of the money went through Harbor Crest Ventures.""
James frowned.
"Isn't that Anthony Reed's company?""
"Yes.""
Peter glanced toward the chairman.
"These are allegations.""
"Correct. Which is why the investigation is ongoing.""
I placed another document on the table.
"But the next document isn't an allegation.""
It was the Cedar Ridge loan agreement.
"The loan was secured against one of our subsidiaries using a signature I did not provide.""
James examined the page.
"Who authorized this?""
"That's what the forensic investigation is determining.""
Peter leaned back.
"Daniel, you're allowing a personal dispute with Monica Ellis to interfere with a significant corporate opportunity.""
I stared at him.
"Monica Ellis?""
He shrugged.
"Everyone knows about the wedding.""
I smiled faintly.
"Then perhaps everyone should know what happened before it.""
I turned toward the screen.
Sarah connected her laptop.
A recording began.
Richard's voice filled the boardroom.
The money needs to move before the acquisition closes.
Anthony replied:
And Daniel?
Richard:
He won't notice. His own credentials will approve the transfers.
Anthony:
What about Monica?
Richard:
She'll do what she's told.
The recording continued.
Then another voice entered.
Peter's.
Just make sure Westbridge gets control before the board asks questions.
The room went completely still.
Peter's face changed.
He looked at Sarah.
Then at me.
"Where did you get that?""
I paused the recording.
"Do you recognize your voice?""
He shook his head.
"That's manipulated.""
Sarah spoke.
"The audio is being independently authenticated. We have the original file, its metadata, and a copy from a separate recording source.""
Peter pushed his chair back.
"This is ridiculous.""
James looked at him.
"Peter, what is going on?""
Peter stood.
"Daniel has been listening to people who want to destroy this company.""
I remained seated.
"Sit down.""
He stared at me.
Then he laughed.
"You think you can order me around?""
"No. But I can ask the board to suspend your access while we investigate.""
He looked around the room.
Nobody spoke.
Linda slowly removed her glasses.
"Peter, did you authorize Richard to use Daniel's credentials?""
"No.""
"Did you receive money from Westbridge?""
"No.""
"Did you have any ownership interest in Harbor Crest?""
Peter's jaw tightened.
"That's private.""
James stood.
"Not anymore.""
Peter looked at me.
His expression had changed completely.
The warmth was gone.
The mentor's smile was gone.
What remained was something colder.
"Daniel, you don't understand how this business works.""
I looked at him.
"Then explain it.""
He leaned forward.
"You started Northstar because you wanted to prove something. You wanted to show everyone that a junior analyst could build a major investment company.""
I said nothing.
"But you never understood where the money came from. You never understood who opened doors for you.""
"I understood every dollar I earned.""
Peter laughed.
"Did you? Your first major investor was introduced by me. Your first acquisition was negotiated by me. Your CFO was recommended by me.""
"And you expected something in return?""
"I expected a seat at the table.""
"You had one.""
"I expected influence.""
"You had that too.""
He slammed his hand against the table.
"I expected ownership!""
The outburst echoed through the room.
James stared at him.
Peter slowly sat down.
I leaned forward.
"How much?""
He looked at me.
"How much what?""
"How much did Westbridge promise you?""
He didn't answer.
Sarah opened a file.
"We have a preliminary transfer record showing payments totaling $640,000 to an entity connected to Peter Wallace.""
The board members began whispering.
Peter shook his head.
"Those were consulting fees.""
"For what services?"" Sarah asked.
He looked at her.
"Financial advisory.""
"To whom?""
"Westbridge.""
"While serving on Northstar's board?""
He didn't respond.
James removed his glasses.
"Peter, I think you should step away from the meeting.""
Peter turned toward him.
"You can't be serious.""
"Your position is now under review.""
Peter looked at me.
For a moment, I saw something almost like disappointment.
"You know what your problem is, Daniel?""
I waited.
"You think doing the right thing is enough.""
I said nothing.
He continued.
"Business isn't about being good. It's about having power. And the people who control the money control everything.""
I looked at the documents.
"Then you should have built your own company.""
He laughed bitterly.
"You were never supposed to become this successful.""
There it was again.
The same phrase.
The same arrogance.
I stood.
"Peter, you're suspended from all board and executive access pending an independent investigation.""
He looked around.
Nobody objected.
He picked up his briefcase.
Then he stopped beside my chair.
"Ask your mother what your father really thought about me.""
I frowned.
"What does that mean?""
Peter leaned closer.
"Your father knew exactly who I was.""
Then he walked out.
The door closed.
For several seconds, the boardroom remained silent.
James finally spoke.
"Daniel, I think we need to discuss the company's future.""
I nodded.
"We do.""
Linda looked at the recording transcript.
"Are the police involved?""
"Yes. Our legal team has submitted the preliminary evidence.""
James rubbed his forehead.
"What about Anthony Reed?""
"His involvement is still being investigated.""
"And Monica?""
I paused.
"She has provided a statement. She has admitted to sharing confidential information and receiving payments. Her full involvement remains under review.""
Linda nodded slowly.
"At least we're getting somewhere.""
I looked around the table.
"I want every transaction involving Westbridge, Harbor Crest, and Silverline suspended. I also want an independent audit of every acquisition Richard handled.""
James nodded.
"Agreed.""
One by one, the board members supported the motion.
Then Sarah received a message.
She read it.
Her expression changed.
"What is it?"" I asked.
She turned the phone toward me.
The message came from our outside legal counsel.
*Richard Cole has been located.*
I felt a wave of relief.
Then I read the next line.
*He has agreed to cooperate, but only if Monica Ellis is granted protection from prosecution.*
I looked at Sarah.
"Why Monica?""
She shook her head.
"I don't know.""
A second message arrived.
*Richard claims Monica has the original recordings proving Anthony Reed and Peter Wallace planned the takeover.*
I stared at the screen.
That would explain why Richard was suddenly willing to cooperate.
He wanted Monica protected because she had evidence.
But the third message was even more alarming.
*Richard also claims Peter Wallace has been secretly negotiating to sell Northstar's entire acquisition portfolio to Westbridge for $18 million.*
I looked toward the empty chair where Peter had been sitting.
The company had been built over three years.
Hundreds of employees depended on it.
And someone had been preparing to sell its most valuable assets without my knowledge.
I turned toward Sarah.
"Where is Monica?""
"She should be at home.""
I picked up my phone.
I called her.
No answer.
I tried again.
Still nothing.
Then a text arrived.
**Daniel, I'm sorry. I should have told you everything. I'm at the old apartment.
The one above the laundromat. Please come alone.**
I stared at the message.
The old apartment.
The place where Monica and I had lived before she left.
The place where she had once told me I would never amount to anything.
I looked at Sarah.
"She's asking to meet.""
Sarah shook her head.
"Don't go alone.""
"She specifically asked me to.""
"That could be a trap.""
I thought about Richard's letter.
The missing money.
The original ownership agreement.
My father's final instructions.
Then I looked at the message again.
I had spent three years believing Monica had left because I wasn't successful enough.
Now I knew she had been involved in something that reached much further back than our breakup.
Perhaps there was still one truth I hadn't heard.
"I'll take security," I said.
"But I'll speak to her myself.""
Sarah nodded.
"Keep your phone on.""
I left the office at 4:20 p.m.
The old apartment building looked smaller than I remembered.
The laundromat downstairs was still operating.
The same faded sign hung above the entrance.
I climbed the narrow stairs.
The hallway smelled of detergent and damp carpet.
At the end was the apartment where Monica and I had once planned our future.
The door was unlocked.
I pushed it open.
Monica stood near the window.
She wasn't wearing designer clothes.
Her hair was tied back.
Her eyes were red.
On the table sat a laptop, a stack of documents, and a small black recording device.
She looked at me.
"Thank you for coming.""
I closed the door.
"You said you had the recordings.""
She nodded.
"I do.""
"Where are they?""
She pointed toward the laptop.
"Everything is there.""
I didn't move.
"Why did you ask me to come here?""
She looked around the apartment.
"Because this is where everything started.""
I stared at her.
"Monica, we don't have time for memories.""
She swallowed.
"Then I'll tell you the truth.""
She opened the laptop.
A video appeared.
The date was three years earlier.
The location was my first Northstar office.
And the person sitting across from Richard wasn't Monica.
It was my father.
Monica pressed play.
My father's voice filled the room.
"Richard, if you ever try to take my son's company, I'll make sure he knows exactly what you did.""
Richard laughed.
"Your son will never find out.""
Then my father's voice became quieter.
"That's what you're counting on.""
The video stopped.
Monica looked at me.
"Daniel, your father knew Richard was dangerous from the beginning.""
I stared at the screen.
"Where did you get this?""
"Richard sent it to me.""
"Why?""
"Because he wanted me to understand that your father had been protecting you all along.""
I looked at her.
"Then why didn't you tell me?""
She began crying.
"Because I was the one who gave Richard the original copy.""
My chest tightened.
"What?""
Monica wiped her face.
"Three years ago, I stole it from your father's office.""
I stared at her.
She lowered her head.
"I was the person who gave Richard the evidence he needed to start the takeover.""
I couldn't speak.
Then she opened another file.
It contained a recorded conversation between Richard and Peter.
Richard's voice was clear.
The only problem is Daniel's father. He has the trust documents.
Peter replied:
Then make sure he never gets the chance to explain them.
Monica stopped the recording.
I looked at her.
"What does that mean?""
She shook her head.
"I don't know.""
But her face told me she did.
I stepped closer.
"Monica, what happened to my father?""
She looked at me through tears.
Then she whispered:
May you like
"Daniel, your father didn't die because of his illness alone.""
And the world seemed to stop.
